The Service(s) mentioned in the aforesaid agreements are provided by Plan The Web (“PTW”) under the following names: Find a Services (“FAS”) or Brampton Services (“BS”) or Mississauga Services (“MS”).

By using any of the Service(s), you ("The Client”) agree to abide by the terms and conditions mentioned below. Hence, it is imperative that you read all the terms and conditions carefully and in their entirety before signing an agreement with or engaging PTW and/or any of its affiliate Services, that is, FAS, BS or MS.

We provide a wide range of Service(s) which may vary by your city or location, hence, the additional terms and conditions may apply. The additional terms and conditions would be specific to a particular Service(s) and will become a part of your agreement with us in addition to the regular terms and conditions if you use that particular Service(s).

Using our Service(s)

Once you sign an agreement with PTW and/or any of its affiliate Service(s), you must follow and abide by any and all the terms and conditions within the scope of the said agreement for using our Service(s).

The Service(s) have been provided to you for promoting/expanding your business for a fee. You do not own any proprietary rights over these Service(s) and must not misuse these Service(s). For example, do not try to access them using a method other than the interface and the instructions that we provide. We may suspend or terminate your subscription to our Service(s), without any refund, if you do not comply with our terms or policies or if we identify suspected misconduct.

Using our Service(s) does not give you the ownership of any intellectual property rights in our Service(s)s or the content you access. You may not use the content from our Service(s) unless you obtain written permission from its owner or are otherwise permitted by law to do so. These terms do not grant you the right to use any branding or logos or images used in our Service(s). Do not remove, obscure, or alter any legal notices displayed in or along with our Service(s).

Our Service(s) display some content that is not owned by PTW and/or its affiliate Service(s). Such content is the sole responsibility of the entity that makes it available or publishes on our Service(s). We reserve the right to review the content to determine whether it is illegal or violates our policies, and as the case may be, we can remove or refuse to display the content that we reasonably believe violates our policies or the law. We cannot be held liable for any loss incurred as a result of removal or non-display of any content. However, it does not necessarily mean that we review any or all of the content made available or published on our Service(s).

In connection with your use of our Service(s), we may send you Service(s) announcements, administrative messages, and other information. You may decide to opt out of some of those communications.

Some of our Service(s) are available on mobile devices through mobile web browsers and/or mobile apps. By subscribing to our Service(s), you agree not to use the Service(s) in a way that distracts you and/or prevents you from obeying the traffic or safety laws.

Privacy and Copyright Protection

We are committed to protecting your privacy and personal data when you use our Service(s). However, by using our Service(s), you agree that PTW and its affiliates can use such data in accordance with our privacy policies.

We provide information to help copyright owners manage their intellectual property online. If you think somebody is violating your copyrights, please notify us immediately.

Your Content in our Service(s)

Some of our Service(s) allow you to upload, submit, store, send or receive content. You retain the ownership of any and all intellectual property rights that you hold in that content. In short, what belongs to you stays yours.

When you upload, submit, store, send or receive content to or through our Service(s), you give PTW and/or its affiliates (as well as those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with our Service(s)), communicate, publish, publicly perform, publicly display and distribute such content. The rights you grant in this license are for the limited purpose of operating, promoting, and improving our Service(s), and to develop new Service(s).

This license remains valid even after you stop using our Service(s) (for example, your logo or image that we used for a business ad). However, some Service(s) may offer you ways to access and remove content when you stop using our Service(s). Also, in some of our Service(s)s, there are terms or conditions that limit our right to use the content submitted in those Service(s). It is your sole responsibility to ensure that you own the appropriate rights to grant us this license for any content that you submit to our Service(s).

About Software in our Service(s)

When a Service(s) requires or includes downloadable software, or a mobile app, the software may update automatically on your device once a new version or feature is available. Some Service(s)s may let you adjust your automatic update settings.

Modifying and Terminating our Service(s)

We are constantly changing and improving our Service(s). We may add or remove functionalities or features, and we may suspend or stop a Service(s) altogether.

You can stop using our Service(s) at any time, although we’ll be sorry to see you go. PTW reserves the right to provide Service(s) to you, or add or create new limits to our Service(s) at any time.

We believe that you own your data and preserving your access to such data is important. If we discontinue a Service(s), where reasonably possible, we will give you an advance notice and a chance to get the information/data out of that Service(s) or we may return your information/data if possible.

Our Warranties and Disclaimers

We apply reasonable level of technical and commercial skills to provide you with our Service(s) which we hope would help you achieve your purpose. However, we do not provide any guarantees or warranties with respect to our Service(s).

Except for explicitly stated in terms and/or additional terms, neither PTW nor any of its affiliates or partners make any specific promises about the Service(s). For example, we do not make any commitments about the content within the Service(s), the specific functionality of the Service(s), and/or their reliability, availability, or capability to fulfill your requirements. We provide the Service(s) “as is”.

Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties.

Liability for our Service(s)

Where permitted by law, PTW and/or its affiliates and partners, will not be responsible for lost profits, revenues, or data or any other financial/non-financial losses or indirect, special, consequential, exemplary, or punitive damages.

To the extent permitted by law, the total liability of PTW and/or its affiliates and partners, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Service(s) (or, if we choose, to provide you the Service(s)s again). In case an advance notice is provided by PTW and/or its affiliates, the pro-rated amount will be returned based on remaining period of Service(s).

In all cases, PTW, and and/or its affiliates and partners, will not be liable for any loss or damage that is not reasonably foreseeable.

We recognize that in some countries, you might have legal rights as a consumer. If you are using the Service(s) for a personal purpose, then nothing in these terms or any additional terms limits any consumer legal rights which may not be waived by contract.

Business uses of our Service(s)

If you are using our Service(s) on behalf of a business, then the terms and conditions of your agreement with us, would be binding on that business as well. It will hold harmless and indemnify PTW and its affiliates, distributors, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Service(s) or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.

About these Terms

We may modify these terms and/or any additional terms that apply to a Service(s) to reflect changes to the law or changes to our Service(s). It your sole responsibility to review these terms/additional terms periodically and how it may impact you or your business.

We will post notices of modifications to these terms on this page. Any modification to the additional terms will be posted in the relevant Service(s). The amendments will not apply retroactively and will become effective no sooner than fourteen days after the date of posting. However, any changes to include new functions for a Service(s) or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service(s), you should discontinue your use of that Service(s).

If there is a conflict between the original terms and the updated terms, the updated terms will prevail and would be used as a standard to resolve the conflict.

The terms or conditions direct the relationship between PTW and/or its affiliates you. They do not create any third party beneficiary rights.

If you do not comply with these terms or conditions, and we do not take an action right away, it does not constitute or imply that we are relinquishing our right to take an action now or in the future.

If a particular term or condition of the agreement is not enforceable for any reason whatsoever, it does not and will not affect the enforceability of any other terms.

The courts in some countries will not apply Ontario law to some types of disputes. If you reside in one of those countries where Ontario law is not applied, your country’s laws will apply to such disputes related to these terms or conditions. Otherwise, you agree that the laws of Ontario, Canada, excluding Ontario’s choice of law rules, will apply to any disputes arising out of or relating to these terms or the Service(s).
